READ THESE TERMS AND CONDITIONS CAREFULLY

By accessing Gridline Studio’s website, you agree to be bound by these terms and all applicable governing laws and regulations. If you are dissatisfied with the terms, your sole remedy is to discontinue using the site. If you continue to use the site, you accept these terms.

1. INTELLECTUAL PROPERTY

1.1 Each and every item, component and content found on or available via download through this website, including but not limited to; manuscripts, written materials, text, graphics, logos, software, databases, icons, images, audio and video clips (the “Content”) are protected under the Copyright Act of Canada, Canadian Trademark Laws and international laws and belong to Gridline Studios, its parent company, proprietor, subsidiaries, affiliates, partners, contributors or third parties.

1.2 Gridline Studios grants you a personal, non-exclusive, non-transferable permission to use the Site, the Service, and the Contents and to download, print and store portions of the Contents that you select; provided, however, that you; (1) use those portions of the Contents only for your own personal, non-commercial use; (2) do not copy or post the Contents on any network computer or transmit, distribute, publish or broadcast the Contents in any media. No right, title or interest in any downloaded Contents or materials is transferred to you as a result of this permission. Gridline Studios reserves complete title and full intellectual-property rights in any Contents you download from the Site, subject to the limited permission set forth herein for you to make personal, non commercial use of the Contents.

1.3 You may not mirror or frame the home page or any other pages of this Site on any other website or webpage. You may not connect “deep links” to the Site, or in other words create links to this site that by pass the home page or other parts of the Site. You may not use any of the marks or logos appearing throughout the Site without express written consent from the trademark owner, except as permitted by applicable law.

 2. TRANSACTIONS

2.1 Transactions for the purchase of services facilitated by use of the Site will be governed by the Terms unless specifically stated otherwise in a particular area of the Site. No additional or different terms contained in any purchase order, document, transmission or other communication shall be binding upon Gridline Studios unless agreed to by Gridline Studios in writing. Gridline Studios reserves the right, without prior notification and in its sole discretion, to limit the order quantity on any product or service and to refuse service to anyone.

3.1 Third Party Links

3.1.1 Hypertext links to third party websites or information do not constitute or imply an endorsement, sponsorship, or recommendation by Gridline Studios of the third party, the third-party website, or the information contained therein, unless expressly stated on the Site. You acknowledge and agree that Gridline Studios is not responsible for the availability of any such websites and that Gridline Studios does not endorse or warrant, and is not responsible or liable for, any such website or the content thereon. You need to make your own decisions regarding your interactions or communications with any other website.

3.2 Third Party Contents

3.2.1 The Site may contain information or contents provided by third parties not related to Gridline Studios. The presence of such third party information and contents does not constitute or imply an endorsement, sponsorship, or recommendation by Gridline Studios of the third party or such information or contents. You acknowledge and agree that Gridline Studios is not responsible for availability of any such information or contents and that Gridline Studios does not endorse or warrant, and is not responsible or liable for, any such information or contents.

3.3 Promotional Offers

3.3.1 From time to time the Site may provide information about promotional offers Gridline Studios sponsors alone or in connection with others. It is not always possible to include all the details concerning such programs on the Site. Promotional offers are subject to local law and are void where prohibited.

3.4 International Use

3.4.1 Gridline Studios makes no representation that the Content is applicable or appropriate for use in locations outside Canada. You agree to comply with all applicable laws and local rules regarding the transmission of technical data, acceptable contents and online conduct.

4. LIMITATION OF LIABILITY

4.1 You understand and agree that under no circumstances will Gridline Studios be liable for any damages whatsoever, including, but not limited to any direct, incidental, consequential, special, punitive, exemplary, or other damages arising out of (i) the use of or inability to use the site, the service, or the content, (ii) any transaction conducted through, or facilitated by, the site, (iii) any claim attributable to errors, omissions, or other inaccuracies in the site, the service, and/or the content, (iv) unauthorized access to or alteration of you transmission or data, (v) statements or conduct of any third party on the site or the service, or (vi) any other matter relating to the site, the service, or the contents, even if Gridline Studios has been advised of the possibility of such damages.

4.2 If you are dissatisfied with the site, the service, the content, or the terms of use, your sole and exclusive remedy is to discontinue using the site. You acknowledge, by your use of the site, that your use of the site is at you sole risk.

4.3 Gridline Studios warrants to you that Gridline Studios shall use its reasonable endeavours to provide the Services with reasonable care and skill and, as far as reasonably possible, in accordance with your request and instructions from time to time. Where Gridline Studios supplies you with any goods or services supplied by a third party, then Gridline Studios is acting as your agent in sourcing the goods or services. Gridline Studios will use reasonable care in ensuring the order is placed in accordance with your instructions. For the avoidance of doubt, Gridline Studios does not and will not provide any representations or recommendations in relation to any of the information and suggestions comprised within the Services. You are deemed to be responsible for, and shall use your own skill and judgement as to, the quality, value and suitability of such information and suggestions in relation to deciding whether to enter into any contract with any third party for the supply of services or sale of goods.

4.4 Gridline Studios will not be responsible for products and services offered by Gridline Studios as agents for the Suppliers or for any aspect of the relationship between you and any particular Supplier. Gridline Studios will however do everything it reasonably can to assist you in any dealings you have with the Supplier.

4.5 You agree that any contract entered into by you with any of the Suppliers is an independent contract. Gridline Studios hereby disclaims any and all liability for any act or omission of any Supplier or any loss incurred by you as a result of any act or omission of a Supplier whether or not arranged through by Gridline Studios.

4.6 Gridline Studios accepts no liability for any losses or claims arising from any inability to access the Site or any failure to complete a transaction.

4.7 Save in respect of death and personal injury caused by the negligence of Gridline Studios or as expressly provided for in these Terms and Conditions, Gridline Studios shall not be liable for any loss, cost, expense or damage of any nature whatever (whether direct or indirect) resulting from the provision of the Services or your reliance upon the information and suggestions provided by Gridline Studios hereunder and the resulting supply of goods and services to you by any third party.

4.8 Gridline Studios shall have no liability to you for any loss, damage, costs, expenses or other claims for compensation arising from requests or instructions supplied by you which are incomplete, incorrect or inaccurate or arising from their late arrival or non-arrival, or any other fault of you.

4.9 Gridline Studios non-Members shall have no cause of action directly, or indirectly via the Gridline Studios Member or other person(s), against Gridline Studios for any loss, damage, costs, expenses or other claims for compensation arising from requests placed for the benefit of the Gridline Studios non-Member by a Member.

4.10 Gridline Studios shall not be liable to you or be deemed to be in breach of these Terms and Conditions by reason of any delay in performing, or any failure to perform, any of Gridline Studios obligations in relation to the Services, if the delay or failure was due to any cause beyond Gridline Studios reasonable control.

4.11 Except in respect of death and personal injury and subject to the provisions of these Terms and Conditions, Gridline Studios maximum liability to you for breach of any of its obligations here under shall be limited to the value of the annual Membership fee and the charge for the Services to be provided.

4.12 Gridline Studios aims to ensure that viruses (or other programs having adverse effects) do not reside on the Site, but Gridline Studios accepts no responsibility in relation to this.

4.13 This section applies only to the extent permitted by law.

5. PRIVACY

5.1 Please review our Privacy Policy, which also governs your visit to our website, to understand our practices.

6. ELECTRONIC COMMUNICATION

6.1 When you visit Gridline Studios or send us an e-mail, you are communicating with us electronically. You consent to communicate and receive information, upcoming events, promotions and updates from us electronically. We will communicate with you via e-mail, newsletter or by posting notices on the site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

All content such as, text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Gridline Studios or its content suppliers and protected by the Copyright Act of Canada and international copyright laws. All other intellectual property rights are reserved. This Site is for your personal use only – you may not use it for commercial purposes. You may only download to your personal computer for viewing purposes and print out a number of pages of this Site for your personal use. You may not copy, modify, distribute, transmit, display, perform, publish, reproduce, licence, create derivative works from, transfer or sell any information obtained from this Website.

8. TRADEMARKS

8.1 Gridline Studios trademarks may not be used in connection with any product or service that is not Gridline Studios, in any manner that is likely to cause confusion among clients, or in any manner that disparages or discredits Gridline Studios. All other trademarks not owned by Gridline Studios or its subsidiaries that appear on this site are the property of their respective owners, who may or may not be affiliated with, connected to, sponsoring or sponsored by Gridline Studios or its subsidiaries.

9. CHANGES TO THESE RULES

9.1 Gridline Studios may vary these Terms and Conditions from time to time and will notify you of any changes in a timely manner. Notification will be by some or all of the following mediums:

9.1.1 The Gridline Studios newsletter;

9.1.2 The Site;

9.1.3 E-mail;

9.1.4 The post or other personal delivery service; and

9.1.5 The press

9.2 Your continued use of the site constitutes acceptance of the altered Terms and Conditions.

10. GOVERNING LAW

10.1 These Terms and Conditions are governed by the Province of British Columbia and are subject to the exclusive jurisdiction of the courts of British Columbia.

10.2 The provisions of the “Privacy Promise” shall apply at all times.
